Acceptable Use Policy
This Acceptable Use Policy (the "AUP") sets out rules for using the business services of Chillz N.L.E Ltd. ("Chillz"). It applies to every Organizer, Promoter and Authorized User, and forms part of the Terms of Engagement (the "Terms of Engagement"). Capitalized terms not defined in this AUP have the meanings given in the Terms of Engagement. Buyers' use of the marketplace is governed by the Terms of Service.
Chillz decides at its discretion whether conduct or content violates this AUP. The examples below are not exhaustive.
1. Events and Offerings
You must not use the Services to list, sell, promote or facilitate:
- any Event or Offering that is unlawful, that you are not authorized to sell, or that requires a license or permit you do not hold;
- fake, counterfeit, duplicate or non-existent Events or Offerings, or Offerings you do not intend or are not able to honor;
- Offerings sold in violation of the rules of the event, venue or rights holder, or in violation of any law that restricts the resale of tickets;
- gambling, lotteries or prize promotions that do not comply with the law;
- weapons, drugs, or other goods or services whose sale is prohibited or restricted by law;
- sexual services, or content or events that exploit minors in any way; or
- any Event or Offering that Chillz informs you it does not permit on the Services.
2. Honest Selling
You must not mislead Buyers or the public. In particular, you must not:
- make any statement, or omit any information, that is likely to mislead a Buyer about any material matter, including the identity of the seller, the Event, its line-up, date, venue, conditions of entry, price, fees, refund policy or accessibility, contrary to the Consumer Protection Law, 5741-1981;
- advertise or display a price that does not include every mandatory component, fee or charge a Buyer must pay;
- display false or misleading claims of scarcity, demand, popularity or urgency, such as fabricated sold-out or "last tickets" claims, inflated attendance or viewer counts, invented countdowns, or fake reviews or endorsements;
- display a reference, "was" or comparison price that does not reflect a genuine price at which the Offering was previously offered; or
- use any feature of the Services, including social proof, urgency or pricing features, to display information that is false or misleading.
3. Messaging
When you send messages through the Services, you are the advertiser and the sender. You must:
- send advertising messages only to recipients who have given their prior express consent, or where an exception under section 30A of the Communications (Telecommunications and Broadcasting) Law, 5742-1982 applies, and keep records that show it;
- identify each advertising message as an advertisement, include your name and contact details, and provide a simple way for the recipient to refuse further messages, as the law requires;
- honor every refusal or unsubscribe request promptly, whatever channel it is received through, and not re-add or re-contact a person who has refused, except as the law permits;
- comply with the direct-mail provisions of the Protection of Privacy Law, 5741-1981 where they apply; and
- comply with the sending limits, eligibility requirements and other controls that the Services apply.
You must not:
- send messages to purchased, rented, harvested, scraped or otherwise unlawfully obtained lists;
- send messages that are misleading about their sender, their subject or their commercial nature;
- use sender names, numbers or addresses that impersonate another person, that you are not authorized to use, or that conceal your identity;
- send content that is unlawful, harassing, abusive, hateful, sexually explicit, or that promotes products or services prohibited by this AUP;
- use the Services to send messages for a business other than your own, or to resell messaging capacity, unless Chillz has agreed in writing; or
- attempt to evade any moderation, compliance check, sending window, rate limit or suppression list.
4. Personal Information
You must not:
- upload, import or collect personal information that you are not lawfully entitled to provide to Chillz or to use as you intend;
- upload or collect information of special sensitivity, identity numbers, payment card numbers or passwords through the Services, unless Chillz has agreed in writing;
- use information about Buyers or contacts that you receive through the Services for any purpose that is unlawful, or contrary to their choices or to the notices given to them;
- sell, share or disclose information about Buyers or contacts in violation of the law; or
- share attendee lists, reports or access to the Services with anyone who is not entitled to receive them.
5. Payments
You must not:
- use the Services to process payments for any Event, Offering or business other than your own, unless Chillz has agreed in writing;
- direct Buyers to pay outside the Services for Offerings listed through the Services, or otherwise avoid or reduce Fees;
- split, disguise or misdescribe transactions, or use the Services for cash advances, money laundering, terrorist financing or any other financial crime;
- use the Services if you, your owners or your Authorized Users are designated on, or are owned or controlled by a person designated on, any sanctions or restricted-party list that applies to Chillz or to you, or use the Services in breach of any sanctions or export-control law that applies to Chillz or to you, including the laws of the State of Israel;
- create transactions that do not reflect a genuine sale, including to obtain an advance or a Payout; or
- encourage Buyers to file chargebacks or false complaints, or misuse refunds.
6. Entry and Accessibility
You must not:
- refuse sale, entry or service, or impose different conditions, in violation of the Prohibition of Discrimination in Products, Services and Entry into Places of Entertainment and Public Places Law, 5761-2000; or
- deny persons with disabilities, or their escorts, the access and adjustments required by the Equal Rights for Persons with Disabilities Law, 5758-1998 and its regulations.
7. Content and Intellectual Property
You must not upload, publish or transmit content that:
- infringes copyright, trademark, privacy, publicity or any other right of any person;
- is defamatory, obscene, hateful, discriminatory, threatening, harassing or incites violence;
- impersonates any person or business, or misrepresents your affiliation with any person or business, including Chillz; or
- contains malware, or links to phishing or other harmful content.
8. Security and Integrity of the Services
You must not:
- access or attempt to access any account, system or data without authorization, or share credentials or access codes except with your Authorized Users;
- probe, scan or test the vulnerability of the Services, or circumvent any security, authentication, rate limit or access control, without Chillz's prior written consent;
- use bots, scrapers or other automated means to access, collect data from or interact with the Services, except through interfaces that Chillz provides for that purpose and in accordance with their terms;
- use automated means to buy, reserve or hold Offerings, or to exceed purchase limits;
- interfere with, overload or disrupt the Services, or reverse engineer, decompile or copy any part of them, except as the law expressly permits; or
- use the Services to build or support a competing service.
9. Third Parties
You must comply with the terms and policies of payment processors, telecommunications carriers, advertising platforms, map providers and other third-party services that you use through the Services, and must not use the Services in a way that causes Chillz to breach its obligations to them.
10. Enforcement
If Chillz believes that you have violated this AUP, or that you may do so, Chillz may, without liability and with or without notice:
- remove, edit or disable content, listings or messages;
- suspend sales, campaigns, integrations or features;
- suspend or terminate your account and the Terms of Engagement;
- hold Payouts or require a reserve, and recover any losses, as described in the Terms of Engagement;
- notify Buyers, recipients, payment processors, carriers or other affected persons; and
- report the matter to, and cooperate with, competent authorities.
Chillz may investigate suspected violations, and you must cooperate with any investigation. Chillz is not obliged to monitor the Services, and its decision not to act in one case is not a waiver of its rights in another.

12. Changes
Chillz may change this AUP in accordance with the Terms of Engagement.
